Membership Terms and Conditions

These Membership Terms and Conditions (Terms) are a binding agreement between the individual or entity purchasing a membership (“Customer,” “you,” or “your”) and Texas Petroleum Group LLC and its affiliates (“Timewise,” “we,” or “us”). These Terms govern your purchase and use of Timewise membership plans and car wash services (collectively, the “Services”).

THIS AGREEMENT TAKES EFFECT WHEN YOU CLICK THE ACCEPT BUTTON OR BY ACCESSING OR USING THE SERVICES (THE “EFFECTIVE DATE”). BY CREATING AN ACCOUNT, PURCHASING A MEMBERSHIP, USING A TIMEWISE LOCATION, OR AUTHORIZING A VEHICLE TO RECEIVE WASHES, YOU AGREE TO THESE TERMS. BY CLICKING ON THE ACCEPT BUTTON OR BY ACCESSING OR USING THE SERVICES YOU (A) ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS AGREEMENT; (B) REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT, POWER, AND AUTHORITY TO ENTER INTO THIS AGREEMENT; AND (C) ACCEPT THIS AGREEMENT AND AGREE THAT YOU ARE LEGALLY BOUND BY ITS TERMS. YOU SHOULD CAREFULLY READ THIS AGREEMENT BEFORE PURCHASING ANY SERVICES. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.

PLEASE BE ADVISED THAT ARTICLES 12, 13 AND 14 CONTAIN PROVISIONS GOVERNING HOW WE WILL RESOLVE CLAIMS YOU MAY HAVE AGAINST US OR THAT WE MAY HAVE AGAINST YOU. PLEASE READ THESE TERMS CLOSELY AND IF YOU DO NOT AGREE, PLEASE DO NOT USE THE SERVICES.

1. Definitions

1.1 Account means your customer profile for managing vehicles, memberships, and payments.

1.2 Additional Services means optional or complimentary amenities that may vary by location.

1.3 Commercial Use means use by vehicles transporting people or goods for hire or operated for business unless enrolled in a Business/Fleet Program.

1.4 Membership Plan means either the One-Time Pass or Monthly Autopay Membership granting access to Services.

1.5 Non-Compatible Vehicles means vehicles that are not compatible with the equipment at the Timewise car wash location for any reason, including, without limitation, vehicles that (i) are incompatible by size, design or modification, or (ii) have accessories, trailers or other items attached to the vehicle that make the vehicle incompatible.

1.6 Vehicle Identifier means the license plate number registered to your Monthly Autopay Membership and used for automated access.

2. Eligibility and Account Responsibilities

2.1 You must be 18 years of age or older to enroll. You must maintain accurate account and vehicle information, safeguard your login credentials, and comply with posted safety rules at all locations.

3. Membership Plans and Services

3.1 We may offer a number of different membership plans, including the following:

(a) “One-Time Pass”: is a one-time purchase of service(s) that does not automatically renew;

(b) “Monthly Autopay Membership” is a Membership Plan that renews automatically every month until canceled by you or terminated by Timewise in accordance with these Terms.

3.2 One Vehicle per Membership Plan. Each Membership Plan is assigned to a single Vehicle Identifier by its license plate.

3.3 Service Availability. Services may vary by location and may be subject to limitations, outages, or temporary unavailability.

3.4 Vehicle Compatibility. Certain vehicles or accessories may be Non-Compatible Vehicles with the wash equipment at Timewise. You are solely responsible for determining the compatibility of the vehicle with the automatic car wash equipment. For safety and operational reasons, Timewise may decline to provide service in its sole discretion.

4. Vehicle Identification

4.1 License Plate Recognition. We use license plate recognition to validate Monthly Autopay Membership access. Plates must be accurate, legible, and unobstructed.

4.2 Changes to Vehicle. If our vehicle is sold or stolen, you must promptly update or deactivate the registered plate to prevent unauthorized use.

5. Pricing, Billing & Taxes, and Automatic Renewal Disclosures for Texas Customers

5.1 Authorization and Charges One-Time Pass purchases payment will be collected at the time of service. For Monthly Autopay Membership, you authorize Timewise to charge your designated payment method for monthly membership fees, applicable taxes, and any add-ons or upgrades you select. Monthly plans bill on the activation anniversary date (e.g., if Services begin on the 7th of the month, charges will occur on or about the 7th of each subsequent month). When beginning the Monthly Autopay Membership Services, a valid credit or debit card will be required for billing purposes (“Payment Method”). By providing a Payment Method, you authorize Timewise and its payment processors to initiate monthly charges in the amount of the membership fee, taxes, and any authorized add-ons until you cancel as provided in Section 7. You may revoke this authorization by canceling your membership at least seven (7) days before the next renewal date. If your Payment Method expires, is terminated, or a payment is rejected, Timewise may immediately suspend or cancel your membership. You are solely responsible for maintaining (i) a valid Payment Method and (ii) a valid email address on file for your account.

5.2 Automatic Renewal. YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW EACH MONTH AT THE THEN-CURRENT RATE UNLESS YOU CANCEL IN ACCORDANCE WITH SECTION 7. BY

ENROLLING, YOU AUTHORIZE RECURRING MONTHLY CHARGES TO YOUR PAYMENT METHOD UNTIL CANCELED.

5.3 Texas Disclosures. Before completing your enrollment, Timewise will present the material terms of the automatic renewal offer in a clear and conspicuous manner, including the renewal interval, the amount or method for calculating the amount to be charged, and how to cancel, and will obtain your affirmative consent to those terms.

5.4 Changes in Fees. If we change pricing, we will provide notice of any material changes at least 30 days before they take effect.

6. Additional Purchases

6.1 Upgrades and Add-ons. Authorized upgrades and add-ons will be billed at the posted price to your payment method.

7. Changes, Cancellation, Nonrefundable Fees, and Reactivation

7.1 How to Cancel. You may cancel at any time; however, cancellation must occur at least seven (7) days before your next renewal date to avoid future charges.

7.2 Effect of Cancellation. Fees paid are nonrefundable, and partial periods will not be prorated or refunded.

7.3 Reactivation. You may reactivate your membership at any time, subject to the then-current terms and pricing.

7.4 Texas Cancellation Methods. You may cancel through any of the following: (a) your online account, (b) by email to TimewiseCarwash@TexasPetroleumGroup.com or (c) by calling 281-400-2925.

8. Modifications

8.1 We may modify the Services, pricing, or these Terms from time to time. Material changes will take effect no sooner than 30 days after notice.

9. Acceptable Use and Denial of Service

9.1 Prohibited Uses. You may not misuse the Services or use memberships for commercial purposes without prior written approval or enrollment in an approved Business/Fleet Program.

9.2 Denial of Service. We may refuse or discontinue service to maintain safety or for violations of these Terms.

10. Damage Disclaimers

10.1 Exclusions. We are not responsible for damage resulting from pre-existing issues, loose or aftermarket parts or accessories, driver error, windshield cracks, or unsafe vehicle conditions.

11. Indemnification

11.1 You agree to indemnify and hold harmless Timewise, its affiliates, and its subsidiaries, and their respective officers, directors, managers, shareholders, members, employees, and agents, from any and all claims, losses, damages, liabilities and any other costs and

expenses (including attorneys’ fees), arising from or related to a claim (i) due to your failure to comply with this Agreement, or (ii) due to your negligence or willful misconduct or use of the Services in a manner not authorized by this Agreement.

12. Limitation of Liability

12.1 Cap. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIMEWISE’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF: (A) THREE TIMES YOUR MOST RECENT MONTHLY MEMBERSHIP FEE, OR (B) $100.

12.2 Waiver. IN NO EVENT SHALL TIMEWISE BE LIABLE TO THE OTHER PARTY FOR ANY SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING LOST PROFITS) SUSTAINED OR INCURRED REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, INCLUDING WITHOUT LIMITATION NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, AND WHETHER OR NOT SUCH DAMAGES WERE FORESEEN OR UNFORESEEN AND REGARDLESS OF WHETHER TIMEWISE HAD RECEIVED NOTICE OR HAD BEEN ADVISED, OR KNEW OR SHOULD HAVE KNOWN, OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES.

13. No Warranties

13.1 The Services are provided “AS IS” and “AS AVAILABLE,” without warranties of any kind regarding availability or performance.

 

14. Dispute Resolution; Arbitration; Class Action Waiver; Governing Law and Venue

14.1 Binding Arbitration. Except as prohibited by law, disputes must be resolved by binding individual arbitration under the rules of the American Arbitration Association (AAA).

14.2 Class Waiver. Class actions and class arbitrations are waived.

14.3 Governing Law. Texas law governs these Terms, and venue is proper in Harris County, Texas, subject to arbitration.

15. Privacy and Communications

15.1 Privacy. Personal information will be handled in accordance with the Privacy Notice - Motorists, Loyalty, Shell App users and visitors to Shell websites https://www.shell.us/privacy/b2c-notice.html.

15.2 Electronic Notices. You consent to receive electronic notices related to the Services.

16. Termination by Timewise

16.1 We may terminate memberships for non-payment, suspected or actual fraud, safety issues, or other violations of these Terms.

17. Assignment

17.1 Timewise may assign these Terms. You may not assign your rights or obligations without our prior written consent.

19. Texas Automatic Renewal Cancellation Acknowledgment

19.1 If you enroll online, Timewise will provide you with an easy-to-use online method to cancel your membership. If you enroll in person or by phone, Timewise will provide a cost-effective, timely, and easy-to-use method to cancel, which may include email or toll-free phone.

19.2 Upon cancellation, Timewise will send you a confirmation of cancellation through the method used to enroll or another available method you select.

20. Entire Agreement; Severability; Waiver

20.1 These Terms, together with any supplemental terms incorporated by reference, constitute the entire agreement between you and Timewise regarding the Services.

20.2 If any provision is held invalid, the remaining provisions will remain in full force.

20.3 Failure to enforce any provision is not a waiver of the right to do so later.

21. Suspension for Safety or Maintenance

21.1 We may temporarily suspend Services for maintenance, safety, or operational reasons and will endeavor to minimize disruption.

22. Misuse, Fraud, and Unauthorized Use

22.1 You are responsible for all activity under your account and license plate, if applicable. Promptly report suspected fraud, theft, or unauthorized use.

23. Notices

23.1 We may provide notices via email, account notifications, postings at locations, or other reasonable means.

24. Survival

24.1 Sections regarding fees owed, limitations of liability, dispute resolution, privacy, and other provisions that by their nature should survive termination will survive.

CAR WAS SUBSCRPTIONS AVAILIBLE FOR PURCHASE IN THE TIMEWISE APP

The Timewise Car Wash Subscription Program is offered by Timewise and is subject to these Terms & Conditions. By purchasing, enrolling in, renewing, or using a Timewise Car Wash Subscription, you agree to be bound by these Terms.

  1. ELIGIBILITY

Customers must be at least eighteen (18) years of age or the age of majority in their jurisdiction to enroll in a subscription.

Customers may subscribe through:

  • The Timewise App; or
  • Select participating Timewise Roller Car Wash kiosks.

Not all Timewise Car Wash locations support kiosk enrollment. Availability may vary by location.

Subscriptions purchased through eligible kiosks may be linked to the Timewise App. Once linked, customers may use their subscription at participating Timewise Car Wash locations where the subscription program is available.

Customers are responsible for maintaining accurate account, vehicle, and payment information.

  1. PARTICIPATING LOCATIONS

Timewise Car Wash Subscriptions are valid only at participating Timewise Car Wash locations located in Texas.

Not all Timewise locations offer car wash services or participate in the Subscription Program. Customers are responsible for confirming participation before attempting to redeem subscription benefits.

Timewise reserves the right to add, remove, replace, or modify participating locations at any time.

Timewise reserves the right to modify subscription prices, plan offerings, wash inclusions, benefits, and features at any time.

  1. SUBSCRIPTION ACCESS & REDEMPTION

Customers may access and manage subscriptions through the Timewise App.

When arriving at a participating Timewise Car Wash location, customers must follow all instructions provided in the app and at the wash entrance.

The app may provide a barcode, scanner, QR code, license plate verification, or other redemption method required to activate the wash.

Customers must comply with all posted operational and safety instructions.

Failure to follow instructions may result in denial of service, wash interruption, or suspension of subscription privileges.

  1. AUTOMATIC RENEWAL

Subscriptions automatically renew on a recurring monthly basis beginning on the original enrollment date.

By enrolling, customers authorize Timewise and its payment processors to automatically charge the payment method associated with their account each month for:

  • Subscription fees;
  • Applicable taxes; and
  • Any authorized charges related to the subscription.

Subscriptions will continue to renew until canceled.

If a payment method cannot be successfully charged, Timewise may suspend or terminate subscription benefits until payment is received.

  1. CANCELLATION

Customers may cancel their subscription at any time through the Timewise App or other authorized account-management channels.

Cancellation prevents future recurring charges but does not entitle the customer to a refund of fees already paid.

Subscription access will remain active through the end of the current billing period unless otherwise specified by Timewise.

  1. REFUNDS

ALL SUBSCRIPTION SALES ARE FINAL.

Except where required by applicable law:

  • Subscription fees are non-refundable.
  • Partial month refunds will not be issued.
  • Unused subscription benefits have no cash value.
  • Failure to use subscription benefits does not entitle customers to refunds, credits, or extensions.
  • Prior subscription purchases are non-refundable.
  • Incorrect subscription selections, accidental purchases, duplicate enrollments, forgotten cancellations, or customer misunderstandings do not qualify for refunds.
  1. LICENSE PLATE AND ACCOUNT ACCURACY

Customers must provide truthful, accurate, and current account information.

Where license plate recognition or vehicle verification is used, customers must provide the true and correct license plate associated with the vehicle using the subscription.

Providing inaccurate, fraudulent, altered, misleading, or unauthorized vehicle information may result in:

  • Suspension of subscription benefits;
  • Cancellation of the subscription;
  • Denial of wash access; and/or
  • Permanent termination from the Subscription Program.
  1. SUBSCRIPTION USAGE RULES

Subscriptions are intended for personal use only.

Customers may not:

  • Share subscription access with others;
  • Resell subscription benefits;
  • Transfer subscription rights without Timewise approval;
  • Circumvent redemption systems;
  • Manipulate license plate recognition systems;
  • Engage in fraudulent activity; or
  • Use the subscription in any manner inconsistent with these Terms.

Timewise reserves the right to investigate suspected misuse and may suspend or terminate subscriptions without refund if abuse or fraud is detected.

  1. OPTIONAL FUEL REWARD BENEFIT

Timewise may offer fuel discount benefits to eligible subscribers from time to time.

Current promotional benefit terms include:

  • Eligible customers may manually add a fuel reward through the Timewise App each week.
  • The current reward value is twenty cents ($0.20) per gallon.
  • Rewards are not automatically loaded to customer accounts.
  • Customers must manually claim the reward during the applicable offer week.
  • If a weekly reward is not added during the applicable offer period, it cannot be claimed later.
  • Weekly rewards may be accumulated and stacked for future qualifying fuel purchases where permitted.
  • Unused fuel rewards expire two (2) months after being added to the customer's account on a rolling basis.
  • Rewards may be redeemed by entering the customer's Alt ID at the pump.
  • Additional qualification requirements may apply.

Fuel reward promotions are separate from the subscription purchase itself.

A Timewise Car Wash Subscription does not require participation in Wise Rewards; however, certain promotional benefits may require enrollment in Wise Rewards or other loyalty programs.

Timewise reserves the right to modify, replace, suspend, reduce, increase, or discontinue fuel reward benefits at any time without notice.

  1. VEHICLE ELIGIBILITY

Customers are responsible for ensuring their vehicle is suitable for automated car wash use.

Prior to entering the wash, customers should:

  • Follow all posted instructions;
  • Remove or secure loose accessories;
  • Ensure windows, doors, trunks, and sunroofs are fully closed;
  • Confirm that vehicle modifications and aftermarket equipment are compatible with the wash system.

Certain vehicles, accessories, roof racks, bike racks, oversized vehicles, trailers, aftermarket modifications, wraps, decals, or attachments may not be suitable for automated car wash equipment.

Customers assume all risks associated with operating a vehicle through an automated wash facility.

  1. DISCLAIMER OF WARRANTIES

Car wash services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Timewise makes no warranties, express or implied, regarding:

  • Continuous availability;
  • Uninterrupted operation;
  • Specific cleaning performance;
  • Equipment availability; or
  • Access to any particular location or service.
  1. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Timewise, its affiliates, officers, employees, contractors, vendors, licensors, service providers, and agents shall not be liable for:

  • Vehicle damage;
  • Property damage;
  • Personal injury;
  • Loss of use;
  • Loss of data;
  • Lost profits;
  • Incidental damages;
  • Consequential damages;
  • Special damages; or
  • Indirect damages related to participation in the Subscription Program.

Without limiting the foregoing, Timewise shall not be responsible for damages resulting from:

  • Failure to follow posted instructions;
  • Vehicle modifications;
  • Roof-mounted accessories;
  • Bike racks or cargo attachments;
  • Existing vehicle damage;
  • Aftermarket equipment;
  • Improper vehicle operation;
  • Mechanical issues;
  • Weather conditions;
  • Third-party actions; or
  • Circumstances outside of Timewise's reasonable control.

Participation in the Subscription Program and use of automated wash equipment are at the customer's own risk.

  1. SERVICE INTERRUPTIONS

Car wash operations may occasionally be unavailable due to:

  • Maintenance;
  • Repairs;
  • Equipment failures;
  • Utility outages;
  • Weather events;
  • Operational constraints; or
  • Other circumstances beyond Timewise's control.

Temporary interruptions do not entitle customers to refunds, credits, reimbursement, or subscription extensions.

  1. SUSPENSION OR TERMINATION

Timewise reserves the right to suspend, restrict, deny, or terminate any subscription at any time for:

  • Violation of these Terms;
  • Fraudulent activity;
  • Abuse of the program;
  • Misrepresentation of information;
  • Payment failures;
  • Improper use of subscription benefits; or
  • Any conduct that may negatively impact the Subscription Program, its operation, or its customers.

Termination may occur without refund.

  1. MODIFICATION OF PROGRAM

Timewise may modify, replace, suspend, or discontinue any aspect of the Subscription Program at any time, including:

  • Pricing;
  • Benefits;
  • Fuel reward offers;
  • Subscription tiers;
  • Participating locations;
  • Redemption methods;
  • Program rules; and
  • Eligibility requirements.

Continued use of the Subscription Program after changes become effective constitutes acceptance of the revised Terms.

  1. GOVERNING LAW

These Terms shall be governed by and interpreted in accordance with the laws of the State of Texas, without regard to conflict of law principles.

  1. CONTACT INFORMATION

Questions regarding the Subscription Program should be directed through Timewise customer support channels made available through the Timewise App or official Timewise customer service resources.

  1. ACCEPTANCE OF TERMS

By enrolling in, purchasing, accessing, renewing, or using a Timewise Car Wash Subscription, the customer acknowledges that they have read, understood, and agree to these Terms & Conditions.
